Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your organization's access to and use of the Tracely360 platform and services ("Services"). By subscribing to or using the Services, your organization ("Customer") agrees to be bound by these Terms.

2. Services

Tracely360 provides an evidence-first code intelligence platform that parses codebases into structured, trust-aware graphs. The Services include repository scanning, graph construction, MCP tooling, operator dashboards, and API access as described in the applicable order form.

3. Subscription and Fees

Access to the Services requires a paid subscription. Fees are set in the order form executed between Tracely360 and Customer. Subscriptions are billed annually in advance unless otherwise agreed. All fees are non-refundable except as expressly stated in the order form.

4. Customer Responsibilities

  • Maintain the confidentiality of account credentials
  • Ensure authorized users comply with these Terms
  • Ensure you have the right to process repositories configured for scanning
  • Not attempt to reverse engineer, decompile, or extract source code from the platform
  • Not use the Services to process data you are not authorized to process
  • Comply with all applicable laws and regulations

5. Data Ownership

Customer retains all rights to its repository data and any content processed through the Services. Tracely360 acquires no ownership interest in Customer data. Graph representations derived from Customer repositories are considered Customer data.

6. Intellectual Property

Tracely360 retains all rights to the platform, including the scanner, extraction pipeline, graph engine, MCP tooling, operator interfaces, and all related intellectual property. The subscription grants Customer a non-exclusive, non-transferable license to use the Services during the subscription term.

7. Service Level

Tracely360 targets 99.9% uptime for the hosted platform, measured monthly. Scheduled maintenance windows are communicated at least 48 hours in advance. Self-hosted deployments are managed by Customer and are not covered by this SLA.

8. Security

Tracely360 implements industry-standard security measures as described in our Security documentation. We conduct regular security assessments and maintain SOC 2 Type II compliance for the hosted platform. Security incidents are communicated to affected customers within 72 hours of confirmation.

9. Confidentiality

Each party agrees to protect the other party's confidential information with at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care. Repository data processed through the platform is treated as Customer confidential information.

10. Limitation of Liability

To the maximum extent permitted by law, Tracely360's total liability under these Terms shall not exceed the fees paid by Customer in the 12 months preceding the claim. Neither party shall be liable for indirect, incidental, special, consequential, or punitive damages.

11. Termination

Either party may terminate the subscription at the end of the current term by providing 30 days' written notice. Either party may terminate immediately for material breach if the breach is not cured within 30 days of written notice. Upon termination, Customer data is deleted within 30 days per our Privacy Policy.

12. Changes to Terms

We may update these Terms periodically. Material changes will be communicated to account administrators at least 30 days before taking effect. Continued use of the Services after changes take effect constitutes acceptance.

13. Governing Law

These Terms are governed by the laws specified in the applicable order form. Disputes shall be resolved through binding arbitration unless otherwise agreed.
